Taking A Company Public – Mergers And Acquisitions – When Organic Growth Isn’t Enough
In a perfect world public and large private companies could experience rapid growth by simply treating their client base right and taking and gradually making more transactions to increase revenues to subsidize the additional costs of more locations, employees etc. This is fine if you’re only trying to build a company worth a few million and then fold up when you’re ready to retire. But if you are looking to build a legacy company that you can hand down to generations, create jobs, expand globally and constantly have a steady stream of purchase and merger offers as a safety net, you need to grow through acquisition and the best way to raise the capital for this process is to go public.
Going public is a technical process where the post public promotion referred to as IR or Investor Relations is the key to stabilizing and growing your share price. Limit the volume of shares for public consumption, pump out maximum publicity, make brokers and investors comb the planet to find available shares and force the price to grow by leaps and bounds by creating demand. When you need funding use PIPES and pay off the loan so the PIPE firm doesn’t liquidate the shares onto the market, get those shares back.
I had a client email me a letter he got from a Do It Yourself investor relations firm. They claim to be able to train CEOs of public companies to take care of the IR campaigns for companies on the London, OTCBB and Pink Sheets. The claim that they can teach you to never need the services of an IR firm again and my response to this client was….Um…Are you an idiot? I guess I was a little upset since I own five percent of the company that he was proposing this DIY solution for IR.
Here is the deal. You need to three basic things to have a solid investor relations campaign. First you need a Pump solution. Don’t confuse pump with pump and dump. Remember, you always want to limit the shares put out to the public but you need to pump public demand and hunger for your shares to keep the price where it’s high enough to use as collateral for loans to subsidize growth without having to release more shares onto the market. Next you need volume. Keep the shares that are in the market place moving. Hold corporate shares to your chest and keep the shares in the public moving, without volume you won’t be able to do anything with your stock. Don’t mistake the concept of creating volume with releasing shares into the public to create cash. Last but not least you need to be in the public eye. You need to have a publicist that will get you on industry expert panels on radio, tv, blogs, podcasts and every publicity medium in between. Get your CEOs face, company name and trading symbol on the bottom corner of everything including but not limited to the bicep and forearm of every sales executive in the company. Ok maybe that’s a bit much but my point is an organization that stands together behind their CEO is an organization that will survive and thrive.
These were just a few of the points that one needs to consider when going public, trying to stay public and promoting a public company. In this industry the old conviction of . . . Believe none of what you hear and half of what you see is the golden rule.

So is business a form of warfare? If it is who are the pawns and who are the kings? Let’s look at the facts and past the 1980s clichés that chant: Greed Is Good and Business Is War as those chanting these phrases are often on the sidelines and not gifted enough to be on the field and playing and have no choice but to live vicariously through those they are jealously watching.

Everyone wants to be a player but in this industry you need a lot more than drive you need connections and capability. By connections I mean global political, global corporate, international finance and more. By capability I mean nerves of steel, the ability to bath in acid and swim with sharks and eat class for breakfast. This is one of the most stressful industries I know of with a burnout rate that is off the charts and any other global consultant that I know has struggled with their demons to stay on the top of their game. Business, by all categorical definition is War.

There are winners, losers, economies rise and economies crumble all because of global commerce. Global commerce as you know is control over the masses by an elite few. The elite are not the government officials as they themselves are pawns in a much larger game that even they don’t understand. Commerce and finance are numbers on a computer screen and fractional reserve lending, the IMF and other organizations at the end of marionette strings to impose the will of the elite on the global populace.

War in the form of economics is ongoing whereas war with guns and the military is to make a statement. Economic warfare is trade sanctions and limiting technology that will enable a developing nation to grow which will disable their industrial capabilities so that instead of a thriving economy they are dependent on the involvement by industrialized nations. With the Bretton Woods Convention in 1944 and the reconstruction of Europe and the doing away with the gold standard the above mentioned Numbers On A Screen are dictated by who holds the most economic collateral to enforce their idea of numbers.

This group of elites has the economic and military power to impose its will and enforce the idea that the numbers that they place on that screen are etched in stone and if those numbers demonstrate a Loan to a developing nation, though no actual empirical capital has been transferred, that developing nation now becomes a willing pawn in the overall game of economic warfare. So there you have it, business is indeed a form of warfare. This industry of global finance serves as the royal court while those around us are forced to play by the rules we invent and enforce.

I’m not saying that this is a good thing, I’m not exactly proud to be part of the problem but this is the awkward reality. I know you’re waiting for a happy ending or an idea that will help create a solution but I don’t have one.

When my firm is brought in as a strategist and alliance facilitator for global rollups, acquisitions, mergers and IPOs we try to create as many jobs as possible but let me ask you, by creating more jobs are we just perpetuating the problem of the masses being controlled by the few?

Taking Your Company Public: How To Qualify A Consulting Firm
Seriously, sometimes I have to step back and laugh when I see company owners trying to pre-qualify consulting firms to take them public. I just stand there and scratch my head in disbelief when they think they are asking all the ‘right’ questions when all they are doing is setting themselves up for failure.

I recently had a company who claimed to have investors who wanted to invest in pre ipo deals. For a few weeks these guys called with a million questions and demands, most of which were contrary to basic SEC regulations and compliance. I tried to set them straight but they just didn’t get it. These guys who called themselves consultants really had no clue as to what they were doing and the questions they were asking me about my firm in order to qualify our firm were completely off base and were actually laughable. It was irritating at the time, now I just sit back and laugh as I chalk it up as another lesson learned and another relationship that fortunately did not come to fruition.

Here are some realities to consider when talking to a consulting firm to take your company public. First, no consulting group acts alone, instead they play quarterback or orchestrator to facilitate a smooth, stress free process. Most consulting firms that take companies public on the OTCBB will have securities attorneys on staff for the s1 filing, third party SEC approved auditors for the SEC audit, multiple market makers to choose from for the filing of the 15c211 and scores of Investor Relations contacts for post public market creation.

When doing due diligence on an Edgar link for S1’s in process you’ll only see the attorney information and the auditor. The Consultant has to be content to stand in the background making the entire process function and succeed with virtually no public claim or credit. If you’re doing due diligence on a consulting firm it’s more important to find out how vast their network is as opposed to being the predictable intellectual midget who will look up the consultants previous stock symbols and call the company and expect to miraculously get on the phone with a person who knows the consultant first hand. The mere thought is so ridiculous it’s redundant to even bring it up but this is something that uninformed people actually do as part of what they consider ‘due diligence’.

All you need to do is this: Talk to the senior partner at the consulting firm. Establish whether or not they are full service. Gain an understanding for how long it takes them to get you from S1 to trading symbol. If you want to do some real due diligence, find out about their post public investor relations strategy so your company not only goes public but can stay public and profitable.

Consulting firms who take companies public on the OTCBB are a small part of the whole but without them, the transaction couldn’t happen. They are the 24/7 worker bees doing the impossible for the ungrateful….until the symbol is achieved and the stock is trading properly, they you get a pat on the back and, “hey thank you so much for your hard work…what was your name again?” And I always respond, “you can call me whatever you want but on my Share Certificates you can put Princeton Corporate Solutions”.

OK, maybe that’s a bit of an exaggeration, of course they are going to remember my name but the reality is, solid due diligence by a company wanting to go public starts with a general evaluation of the consulting firm, some basic technical questions and then getting to the root and depth of their contact base to make sure your going public efforts are fast and smooth.

Taking A Company Public: Survival Of The Fittest
What happens when politicians perpetually fail the people of a nation? What happens when lying, steeling, cheating and other grotesque displays of a primitive mind become mainstream with those who have been elected to govern our nation?

The answer is simple, natural law kicks in and the Darwinist notion of Survival Of The Fittest becomes the new reality. Don’t think for a second that your children can’t see it and I f you pay attention you’ll notice it with the crowd around the water cooler and even the racquetball clique. People, smile and goof off less and strategize and synergize more. The subconscious, primal survival mentality of our fight or flight ancestors is now dictating our moves as we are once again in survival mode.

Here is what I’m seeing in global commerce. Companies and entrepreneurs that would normally go out of business, claim bankruptcy, lick their wounds and go sell insurance for a living are now seeking synergetic relationships with other likeminded professionals.

Today, I was contacted by three different men: one was a performing and non performing note buyer who made great money but wanted to expand and go public, the second call was from real estate investor who owned around 2.5 million dollars in property, had liquidity and money in the bank but was afraid to do anything until he has a strategy for taking his company public and the third gentleman had a construction background in the luxury home industry and made great money but also had around 3 million dollars in commercial real estate holdings.

Each of them said, “my goal is to go public but I would like to team up with other men just like me so that together we can make a huge success of the public company”. Now obviously that was not verbatim but you get the point.

When I got off the phone, I walked down the hallway from my office to the conference rooms, grabbed some coffee and slowly walked back to my office and then…a moment of Zen, it is time to bring out the merger machine! I immediately got on the phone, called all three clients and within 2 hours had all three of them doing back flips in their living rooms. We took the strengths of each of these men and put them together into an entity that will work.

Don’t give up! Whatever you do, you must never give up. Don’t believe for a second that your Senator or Congressmen is going to do or is even capable of doing anything to improve your position. If they were drowning in a lake you would be the first person they grab and use as a flotation device. Open your eyes and take it all in. Are you fit enough to survive?

I’ve been involved with more mergers and acquisitions and IPOs than I can even count. I have been called many names when I am getting involved with corporate turnaround consulting but the most common of these terms are: arrogant, cocky and hardheaded. I take these names as a feather in the cap and a notch on the belt because the worst thing that can happen is that a company or board of directors hires a wimp or pushover. Having swagger when walking into a negotiation session or presentation makes all the difference. Refuse to lose and have the contacts to back up your moves.

CEOs and executives take note …it is ok to be cocky of you can back it up with performance. My clients love me. The people on the receiving end of my firms negotiations hate me, until they hire me on their next project. My hate of losing exceeds my love of winning and I will never stop until the clients pull me off of the project or until the transaction is done. This mentality is a must for today’s executive and corporate consultant.

I am not saying this to impress anyone or to get more business. I am trying to express to new CEOs of public companies and pre public companies that you have to be fierce. When you step in a room everyone has to feel it. Your presence has to be loathed by some and the epitome of curiosity by others. Keep them guessing.

Demonstrate loyalty to your client and make competitors fear being on the receiving end of your attention and above all, be calculated with your moves and stealthy with your strategy. Do not speak until you can level the room with what you have to say and understand the reality that for every action there will be a reaction and for every strategic move you make on your clients behalf, there will be countermeasures taken by the opposition.

Its ok to stay up at night distracted by ideas that will press the throttle peddle on behalf of your client. It’s a forgivable sin to force-feed strategies and alliances to your client that will help them get a competitive edge over their competition. And above all remember this, at the end of the day in global commerce the winning side achieves more than domination but the ability to keep and create jobs and grow through acquisition which creates more jobs and profitability. Arrogance and the refusal to lose is the beginning of this entire process. Get it or get out!

For US and European based technology services companies, the new great frontier is China. Obviously the question at the forefront of everyone’s mind is how to expand into this region without having your proprietary technology pirated by this region’s upstart competitors. Investors who are able to achieve higher yields on their investments take a different approach to growing their portfolio than most. Of course they use a broker and/or investment advisor for information on transactions but will typically make their investment decisions based off of their own collective research.
The reality is the few that have gained a comprehension for seeking out and getting involved with trades that open the floodgates to massive profits use their own money and operate as part of a small, tight knit group. Companies seeking seed capital to go public are often financially viable companies with modest liquidity but are taking on seed investors so that they can meet the SEC minimum criteria of having 40 investors on the books to qualify for going public. Investors that are able to, literally, make millions per transaction have a way of getting into these opportunities by connecting with consultants who take companies public.
If you are able to get involved with these consulting firms and if you have some capital to designate as a seed investor, you can literally be placed in 4,5 or even 6+ pre IPO investments per year. When you are one of the 40 investors in a pre public OTCBB corporation you are usually investing seed capital at a fraction of the future public price. The difference between what you pay for the seed stock and what the company charges per share when public is the profit.
It isn’t at all out of the ordinary to buy seed stock at 50 cents and have that stock gain in value of $1.00 to $1.50 when the company goes public and yes, you just made 50 cents to $1.00 net profit on each share (note: seed prices and opening prices vary). The great thing is you can often invest as a seed investor with as little as $5,000 to $10,000. If you have more capital you can spread it out over multiple pre-IPO opportunities. Seek out the pre- public companies and make a fortune!
